SEBI Extends Angel Fund Accredited Investor Deadline to 31 March 2027: Startup Impact
SEBI has given older Angel Funds more time to complete their accredited-investor transition, but it has not removed the mandate.
Direct answer
SEBI has extended the transition deadline for the accredited-investor mandate from 8 September 2026 to 31 March 2027 for Angel Funds registered on or before 10 September 2025. The extension provides additional implementation time; it does not cancel the mandate.
The source is SEBI Circular No. HO/19/34/11(7)2025-AFD-POD1/I/20626/2026 dated 7 September 2026, available on the official SEBI circular page and in the signed circular PDF. The Best CS Firm In India interpretation discipline is to map the rule to the fund’s registration date before changing any investor-onboarding process.

Who the circular applies to
Angel Funds registered on or before 10 September 2025
These funds receive the extended transition. They must implement the mandate by 31 March 2027 and cannot offer investment opportunities to more than 200 non-accredited investors during the transition.
Angel Funds registered after 10 September 2025
The extension does not create a new grace period for them. Under paragraph 8.1.1 of the AIF Master Circular, they are mandated to onboard and offer investment opportunities only to accredited investors.
Startup investee companies
The direct compliance duty sits with Angel Funds and their managers, but startups should understand the fund’s status because investor eligibility can affect syndicate composition, contribution timing and closing certainty.
What remains unchanged
- All other provisions of Chapter 8 of the AIF Master Circular remain unchanged.
- Existing investors may continue to hold investments already made under the PPM or fund documents.
- The circular came into force immediately on 7 September 2026.
- The extension does not waive KYC, AML, accreditation evidence or other applicable onboarding duties.
Documents an Angel Fund should update
| Document/control | Update |
|---|---|
| Investor master | Accreditation status, certificate dates and expiry |
| Onboarding checklist | Differentiate pre- and post-10 September 2025 funds |
| Investment opportunity log | Track offers to non-accredited investors during transition |
| Contribution control | Block non-accredited contribution after 31 March 2027 |
| PPM/fund documents | Check consistency with the revised framework |
| Investor communication | Explain transition, accreditation steps and cut-off |
Founder impact on fundraising
1. Ask the fund about its regulatory position
During diligence, record the investing vehicle’s legal name, SEBI registration, fund category and whether the proposed contribution relies on the transition.
2. Do not treat a soft commitment as closed capital
If an investor must complete accreditation or the fund must change onboarding, reflect that dependency in the closing checklist and runway plan.

3. Keep allotment sequencing clean
Coordinate the term sheet, definitive documents, valuation, funds receipt, board approvals, allotment and filings. Investor eligibility does not replace company-law and FEMA compliance.
4. Protect the cap table
Confirm that the named subscribing vehicle matches bank receipts, securities documents and the cap table. Avoid informal substitution of individual angels for the fund without a fresh legal review.
Compliance timeline to 31 March 2027
| Period | Recommended action |
|---|---|
| Now–31 October 2026 | Classify investors and verify accreditation evidence |
| November–December 2026 | Update documents, systems and investor communication |
| January–February 2027 | Resolve pending accreditation and test contribution blocks |
| March 2027 | Complete transition, obtain compliance sign-off and archive evidence |
| After 31 March 2027 | Do not accept contribution for an investee company from non-accredited investors |
Mistakes to avoid
- Applying the extension to every Angel Fund regardless of registration date.
- Assuming the accredited-investor mandate has been withdrawn.
- Ignoring the limit on offering opportunities to more than 200 non-accredited investors during transition.
- Accepting funds after the deadline because an opportunity was offered earlier.
- Failing to track accreditation certificate validity.
- Changing the startup subscriber name after money arrives without reconciling documents and approvals.
Founder / Business Takeaway
The extension reduces immediate transition pressure for older Angel Funds, but founders should still diligence the investing vehicle and keep a conditional closing dependency visible. Clean investor eligibility, bank evidence, valuation, securities documents and filings make the round more reliable.
