SEBI Accredited Investor Framework 2026: Manager-Led Accreditation, New ₹5 Crore Test and Non-Resident Access

SEBI has approved a simpler accredited-investor pathway that could widen sophisticated-investor access to AIF, SIF and PMS products. The decision creates new routes, but firms should wait for the final legal amendments and safeguards before operational launch.

SEBI’s Board approved a significant review of the Accredited Investor framework on 24 September 2026. The decision adds optional manager-led accreditation, a securities-market-exposure eligibility test, deemed accreditation for persons resident outside India and an LLP route.

The authoritative sources are SEBI’s board-meeting release and the official detailed decision paper. The proposal followed SEBI’s 13 August 2026 consultation. The Best CS Firm In India compliance approach is to build from the board decision while labeling every control “pending final amendment” until the operative text is issued.

Manager-led accreditation explained

The manager-led route is additional and optional. It does not eliminate Accreditation Agencies. A manager may verify an investor for its eligible product ecosystem, with portability across AIF, SIF and PMS products within the same group, subject to safeguards in the final framework.

Groups should create a central accreditation file rather than letting each product team collect different evidence. The file should show the eligibility route, data source, valuation date, reviewer, approval, expiry and products relying on it.

New securities-market-exposure test

SEBI approved a digitally verifiable additional eligibility test based on securities-market exposure:

  • At least ₹5 crore for individuals, HUFs, family trusts and sole proprietorships.
  • At least ₹20 crore for body corporates and other trusts.

The final text should answer calculation questions such as eligible instruments, valuation date, jointly held assets, encumbrances, aggregation and documentary source. Do not invent an internal formula before those rules are clear.

Deemed accreditation for non-residents

Persons Resident Outside India as defined under FEMA, including Foreign Portfolio Investors, will be deemed accredited under the approved framework. This may reduce repetitive wealth verification, but it does not override:

LLP eligibility

An LLP may qualify where every partner is an Accredited Investor, consistent with the existing partnership-firm concept. Managers should map changes in partners, admission or retirement events and accreditation expiry because one partner’s status may affect the LLP’s continuing eligibility.

Implementation checklist

  1. Create an “approved, notified, effective” regulatory tracker.
  2. Identify every product and client journey that uses accredited status.
  3. Draft a route-selection policy for manager-led versus agency accreditation.
  4. Define acceptable evidence only after final rules and safeguards are known.
  5. Build three-year expiry, renewal and change-event alerts.
  6. Document same-group portability and access controls.
  7. Update privacy notices for financial and portfolio evidence.
  8. Train distributors on accurate, non-promissory communication.

Documents to prepare

  • Accreditation policy and eligibility decision tree.
  • Investor declaration and evidence checklist.
  • Maker-checker review and exception log.
  • Group portability consent and data-access map.
  • Validity, renewal, partner-change and status-revocation workflow.
  • FEMA/KYC overlay for non-residents.
  • Product disclosure and distribution training pack.
  • Audit trail and record-retention schedule.

Mistakes to avoid

  • Treating board approval as an immediately effective onboarding permission.
  • Assuming accredited status removes suitability or disclosure duties.
  • Using unaudited screenshots without a verification policy.
  • Sharing sensitive investor evidence across a group without access controls.
  • Forgetting renewal after the approved three-year validity.
  • Deeming a non-resident accredited but ignoring FEMA and KYC classification.

Deadline and founder impact

The board paper records the approved policy but does not, by itself, provide a universal go-live date for every operational step. Wealth-tech founders should monitor the regulations and circulars, then use the stated transition or effective date. The opportunity is a faster sophisticated-investor journey; the risk is turning simplified verification into weak governance.

Founder / Business Takeaway

Build a reusable accreditation record with clear evidence, reviewer, expiry and product scope. Speed should come from disciplined verification and portability, not from lowering the standard of proof.
